These are the standard terms JUST XRM Limited works under. Where we have signed a separate contract with you, or your own supplier terms apply, that document wins and these terms fill the gaps.
Who we are
JUST XRM Limited, registered in England and Wales, company number 13616544, VAT registration GB 488 5438 34, registered office Unit 3.1 Beaufront Business Park, Anick Road, Hexham NE46 4TU. In these terms “we” and “us” mean JUST XRM Limited, and “you” means the organisation we are working for.
How work is agreed
Every engagement starts with a written scope: what we are doing, what you get at the end, what it costs and roughly how long it takes. Nothing is chargeable until you have accepted that in writing. Email is fine.
If the work changes — and on platform work it usually does — we will tell you before we do it, not after. Additional work is quoted and accepted the same way.
Who does the work
The architect you speak to is the architect who does the work. Where an engagement needs capacity or a specialism beyond that, we may use trusted associates and subcontractors. We remain responsible to you for everything they do, they are bound by the same confidentiality obligations, and we will tell you who is involved.
Fees and payment
- Fees are as set out in the accepted scope. Fixed-price work is fixed for the scope agreed; time-based work is charged for time worked.
- All fees are exclusive of VAT, which is charged at the prevailing rate.
- We invoice monthly in arrears for time-based work, and on the milestones set out in the scope for fixed-price work.
- Invoices are payable within 30 days of the invoice date.
- Travel, accommodation and third-party costs are charged at cost and only where they were agreed in the scope beforehand. We do not mark them up.
Late payment carries statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. We would much rather ring you than invoke it, and we will always ask first.
If an invoice is more than 30 days overdue we may suspend work, having given you written notice. We will not do that without warning, and we will not do it mid-way through something that would leave your platform in a broken state.
Cancelling booked time
Booked days can be moved or cancelled at no charge with five working days’ notice. Inside five working days we will always try to re-fill the time, and will only charge where we cannot. If we have to move a booked day, the same courtesy applies in reverse.
What you can expect from us
We will exercise the reasonable skill and care of a senior practitioner in this field. We will tell you when we think you are about to do something expensive or unwise, including when the commercially attractive answer for us is to keep quiet.
We do not guarantee a particular business outcome, and we cannot be responsible for platform behaviour Microsoft changes underneath us, for defects in third-party products, or for decisions you take against our written advice.
What we need from you
Timely access to the environments, people and information the work depends on; decisions when we ask for them; and a named person on your side who can make those decisions. Where delay on your side extends an engagement, we will tell you what it means for cost and timeline before it does.
Who owns what
On payment in full, everything we build specifically for you — solutions, configuration, code, documentation — is yours. You own it outright and you can take it to another supplier, with no licence back to us and no lock-in.
What we keep is the general knowledge, methods, patterns and tooling we brought with us or developed independently, and the right to reuse them. We will never reuse anything specific to you, your data, or your commercial arrangements.
Confidentiality
We keep what we learn about your organisation confidential and use it only to do the work, during the engagement and after it. The exceptions are the ordinary ones: information already public, information you have told us we may share, and disclosure the law requires.
We would like to say we worked with you. We will not name you, use your logo or describe the work publicly without asking you first.
Personal data
Where we handle personal data inside a system we build or support, you are the controller and we act as processor on your instructions. Our handling of your own contact details is covered by our privacy policy.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability for an engagement is limited to the total fees paid by you under that engagement in the twelve months before the claim, and we are not liable for loss of profit, revenue, business, anticipated savings, goodwill or data, however arising.
We carry professional indemnity insurance appropriate to the work we take on. Evidence of cover is available on request.
Ending an engagement
Either of us may end a retainer by giving 30 days’ written notice. Fixed-scope work runs to completion unless we agree otherwise.
Either of us may end an engagement immediately if the other commits a material breach that is not put right within 14 days of being asked in writing, or becomes insolvent.
On termination you pay for work done up to that point, and we hand over everything we hold that belongs to you — documentation, credentials, solution files — in a usable form. We will not hold your platform hostage over a dispute.
General
Neither of us is liable for failure caused by something genuinely outside our control. If any part of these terms turns out to be unenforceable, the rest still stands. These terms do not create rights for anyone who is not a party to them.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If something goes wrong, please speak to us first — almost everything is fixable by a phone call.
Questions
Anything here you would like explained or changed before you sign, email hello@justxrm.com. We would rather negotiate a term than have you sign something you are uneasy about.
